SERVICE TERMS OF USE

The Service Order and the Service Terms below comprise the entire agreement ("Agreement") between you and Direct Hit Strategies, LLC.  The Ultimate Wellness Web Sites, include general wellness content and patient education materials.  The Content is provided to your website under a nonexclusive license and is subject strictly to the terms of this Agreement.  This Agreement is not effective until accepted by DHS LLC, and is governed by Arizona law without regard to its choice of law principles.

Monthly Web Site Service Fees ~ The monthly service fees cover monthly hosting, customer support, technical support, and email support, and are payable on the first day of each month of the Agreement Term.  Monthly fees are subject to change at each renewal Term as determined by DHS LLC.

Billing ~ The obligation to pay service fees begins as soon as your account has been setup and posted online. It is your responsibility to ensure that the credit card on file is updated and current. Late fees of $25 will apply to declined transactions that are not settled within 30 business days of email notice.  Accounts that are not paid within 30 days will be temporarily suspended until the account is brought current.

Domains ~ All domains are managed and administered by DHS LLC. In order to properly manage your domain, it must be transferred to the Ultimate Wellness Domain Registrar account. Domain registration and transfers are charged at the rate of $20 per domain, per year registration. DHS LLC bills for the domain registrations and transfers separately.

Cancellation; Renewal ~ This Agreement is effective for the Term specified in the order form, and automatically renews at the end of the policy Term for successive one-year periods, unless either party gives 30-day written notice of cancellation before the end of the current Term.  Either party may cancel at any time upon 30 days written notice.  If you cancel before the end of the Term, you agree to pay a cancellation fee as follows:

Monthly Patient Newsletter Emails ~ The newsletters come from various health and wellness sources (ACA) and are designed by the DHS LLC Team.  Articles are scheduled by the team for distribution monthly. DHS LLC is not responsible for article or newsletter content, or the frequency or availability of the newsletters. It is your responsibility to review the scheduled articles and to avoid posting any article that contains content that may conflict with applicable laws and/or regulations.

Client Supplied Content ~ Text information, pictures, images, graphics, video, audio and all other information supplied and published to your web site must be your original work or you must have the proper written permission from the rightful owner. DHS is not liable for claims of infringement or unauthorized use of content; you agree to indemnify DHS against any loss, claims, damages, and expenses, including reasonable attorneys' fees, relating to any claims arising due Client supplied content.

Content Use ~ The Content and other information and materials that are made available for your web site have been specifically designed for informational purposes only.  UWWSDHS accepts no responsibility or liability for the accuracy, or improper use and distribution of the web site content.  All graphic artwork, content, design, and navigation within your site, other than Client supplied content, is copyright protected, and cannot be edited, rewritten, or modified in any manner whatsoever, unless you are given prior written permission by DHS.  Upon any unauthorized use of the Content or other DHS material, DHS may immediately cancel the Agreement, charge the cancellation fee to your account, and pursue all legal and equitable remedies against you, including without limitation, injunctive relief.  YOU ACKNOWLEDGE THAT UWWSDHS HAS MADE NO REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, CONCERNING THE CONTENT OR THE WEB SITE, INCLUDING WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

External Links ~ DHS has no control over, or responsibility for, the content of sites that a client may choose to link to.  DHS assumes no responsibility if a site that you choose to link to has inaccurate data, goes off line or does not allow you to link to it for any reason.  You agree to indemnify DHS against any claim or loss caused by improper links.  DHS reserves the right to remove any external links, Client supplied content, or other material that DHS deems, in its sole discretion, to be in violation of its license agreement, illegal, or otherwise inconsistent with the purpose of, or damaging to, Ultimate Wellness Web Sites.

Release ~ Client agrees to release DHS from any and all liability, claim for damages, cost of defense, claim for loss of business, consequential damages or expense levied against client on account of any design effect, error, omission, negligence, defect, failure to maintain, failure to service, or any other claim it may otherwise have against DHS. In the event that the Content is no longer available to DHS, DHS may, at its option, elect to cancel the Agreement, or provide similar content, as determined by DHS, in which case this Agreement remains in full force and effect.  If DHS fails to provide similar content, as determined by SDHS, within 30 days, you may cancel this Agreement upon giving 30 days written notice.

No Assignment ~ You cannot assign or grant sublicenses of the Content to any party without SDHS's prior written consent. Any prohibited assignment or sublicense is null and void and is a material breach of this Agreement that gives DHS the right to terminate this Agreement and exercise all other available remedies.  For purposes of this Agreement, any change of ownership or control of Client by transfer or operation of law requires written consent by DHS LLC in order for this Agreement to remain in effect.
